Reachq/Holisteq retains all rights, titles, interests and intellectual property rights in and to the software in relation to the Services (as defined) provided to you and the Users (as defined).

These terms and conditions (referred to as the “Terms”) govern your access to and use of the services, websites, mobile apps and any other interaction between you and Reachq/Holisteq (collectively referred to as the “Services”), including any information, text, graphics, pictures, videos, links or other materials uploaded, downloaded or appearing on the Services (collectively referred to as the “Content”). Your access to, your use of and your purchase of the Services is conditional on your irrevocable acceptance of and the compliance with these Terms. By purchasing the Services you irrevocably agree to be bound by these Terms.

You are solely responsible for your use of the Services, for any Content you and/or your users, visitors, clients, followers and any interested third party (collectively referred to as the “Users”) may privately or publicly, as the case may be, transmit, submit, post or display on the Services and for any consequences thereof in any jurisdiction. The Content submitted, posted or displayed via the Services will be able to be viewed by Users of the Services, and if required by law, by further parties.

Reachq/Holisteq cannot monitor or control the Content and therefore cannot take any responsibility. Therefore, you should at all times be comfortable with the Content provided. Any use of and reliance on any Content made available via the Services or obtained by you or any User, as the case may be, through the Services is at your own risk. Reachq/Holisteq does not endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of any Content or communications posted via the Services or endorse any opinions expressed via the Services. You understand that by using the Services, you may be exposed to Content that might be offensive, harmful, inaccurate or otherwise inappropriate, or in some cases, postings that have been mis-labeled or are otherwise deceptive. Under no circumstances will Reachq/Holisteq be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, rejection of content by third party platforms used by Reachq/Holisteq (including, but not limited to, the Apple App Store and Google Play Store), or any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via the Services.

The following activities are prohibited on the Services. Accordingly, you agree that you and the Users will not:
1. Conduct or promote any illegal activities while using the Services;
2. Upload, distribute or print anything that may be harmful to minors;
3. Attempt to reverse engineer or jeopardize the correct functioning of the Services, or otherwise attempt to derive the source code of the software (including the tools, methods, processes, and infrastructure) that enables or underlies the Services;
4. Attempt to gain access to secured portions of the Services to which you do not possess access rights;
5. Upload or transmit any form of virus, worm, Trojan horse, or other malicious code;
6. Use the Services to generate unsolicited email advertisements or spam;
7. Use the Services to stalk, harass or harm another individual;
8. Take any action that may undermine the feedback or ratings systems;
9. Use any high volume automatic, electronic or manual process to access, search or harvest information from the Services (including without limitation robots, spiders or scripts);
10. Interfere in any way with the proper functioning of the Services or interfere with or disrupt any servers or networks connected to the Services, or disobey any requirements, procedures, policies or regulations of networks connected to the Services;
11. Use any robot, spider, other automatic device, or manual process to extract, “screen scrape,” monitor, “mine,” or copy any static or dynamic Services or the Content for commercial use without our prior express written consent;

You may use the Services at your discretion and only in constant compliance with these Terms and all applicable local, state, national and international laws, rules and regulations (which may change over time).

The Services Reachq/Holisteq provides are constantly evolving. The form and nature of the Services provided by Reachq/Holisteq may change from time to time without prior notice to you.

Reachq/Holisteq reserves the right at its sole discretion to stop (temporarily or permanently) the Services (or part of the Services) provided and may not be in a position to give you and the Users prior notice.

Reachq/Holisteq reserves the right at its sole discretion to create limits on use and storage at any time and without giving prior notice to you.

The Services may include advertisements, which may be targeted to the Content or information on the Services, queries made through the Services, or other information. The types and extent of advertising by Reachq/Holisteq on the Services are subject to change. In consideration for Reachq/Holisteq granting you access to and use of the Services, you agree that Reachq/Holisteq and our third party providers and partners may place such advertising on the Services or in connection with the display of Content or information from the Services whether submitted by you or others.

You must become a customer (referred to as the “Customer”) of Reachq/Holisteq and pay the agreed subscription fee to be granted access to the Services. The information provided by you must be true, accurate, current and complete. If Reachq/Holisteq believes or suspects in that your information is not true, accurate, current and complete, Reachq/Holisteq reserves the right at its sole discretion to deny, suspend or terminate your access to the Services or parts thereof.

To become a Customer, you are asked to provide your email address and to select a password (collectively referred to as your “Login”). Reachq/Holisteq recommends that you do not transfer to or share with your Login with any third party. If anybody accesses the Services by using your Login, Reachq/Holisteq will rely on that Login and assume at it is you (or any representative of yours, whom you have given the Login at your sole discretion and without knowledge of Reachq/Holisteq) who is accessing the Services. You are solely and irrevocably responsible for any and all use of your Login and all activities that occur under or in connection with your Login. Without limiting any rights which Reachq/Holisteq may otherwise have, Reachq/Holisteq reserves the right at its sole discretion to take any and all action, as Reachq/Holisteq deems necessary or reasonable, to ensure the security of the Services and your Login, including without limitation terminating your access, changing your password or requesting additional information to authorize activities related to your Login and the use of Services. You agree to be responsible for any act or omission of any Clients that access the Services under your Login that, if undertaken by you, would be deemed a violation of these Terms. In no event and under no circumstances will Reachq/Holisteq be held liable to you for any liabilities or damages resulting from or arising out of (i) any action or inaction of Reachq/Holisteq under this provision, (ii) any compromise of the confidentiality of your Login, and (iii) any unauthorized access to or use of your Login. Please notify Reachq/Holisteq immediately if you become aware that your Login is being used without authorization.

A Customer is required to pay the agreed subscription fee and any other agreed fees and commissions. If a customer fails to meets its payment obligation, Reachq/Holisteq reserves the right at its sole discretion to deny immediately or at any time the Customer access to the Services and / or to terminate the subscription of the Customer. A Customer may cancel the automatic renewal of its subscription by giving at least one calendar month’s written notice to Reachq/Holisteq under subscriptions@reachq.com before the end of the current subscription period. Otherwise, the subscription shall be automatically extended by terms and yearly communicated prices, excluding any possible first year or any other discounts unless expressly agreed in writing.

If the Customer is making use of the Services through a setup trial offering (a set time during which the product is fully accessible and functional and complimented with 'value added services' against a set fee) the Customer commits to a 3-month subscription commencing the day the trial period starts of which the subscription fee is payable on the day the trial period starts. This ‘setup trial subscription’ cannot be cancelled. When the trial period ends the trial subscription will automatically be continued into a 12 months subscription unless cancelled in the two weeks (14 days) before the trial period ends by giving written notice to Reachq/Holisteq under subscriptions@reachq.com. An email notice will be given in the two weeks (14 days) before the setup trial period ends. The 'value added services' offered during the trial can only be provided and success measured if the client commits to giving Reachq/Holisteq full cooperation and access to their customer database (email adresses, mobile phone numbers etc.) and social media platform access of the platforms used by the client (facebook, instagram etc.).

You understand and acknowledge that the software, code, proprietary methods and systems used to provide the Services (referred to as the “IP”) are (i) copyrighted by Reachq/Holisteq and/or Reachq/Holisteq’s licensors under United States of America and/or international copyright laws, (ii) subject to other intellectual property and proprietary rights and laws, and (iii) owned by Reachq/Holisteq or Reachq/Holisteq’s licensors. The IP may not be copied, modified, reproduced, republished, posted, transmitted, sold, offered for sale, or redistributed in any way without our prior written consent and/or the prior written consent of our applicable licensors, as the case may be You must abide by all copyright notices, information, or restrictions contained in or attached to any IP. Nothing in these Terms grants you any right to receive delivery of a copy of the IP or to obtain access to the IP. Furthermore, nothing in these Terms will be deemed to grant, by implication, estoppel or otherwise, a license to the IP. Certain of the names, logos, and other materials displayed in the Services constitute trademarks, tradenames, service marks or logos (collectively referred to as the “Logos”) of Reachq/Holisteq or other entities. You are not authorized to use any such Logos without the prior written consent of Reachq/Holisteq or any other entities, as the case may be. Ownership of all such Logos and the goodwill associated therewith remains with Reachq/Holisteq or those other entities. Any use of third party software provided in connection with the Services will be governed by such other entities’ licenses and not by these Terms.

Reachq/Holisteq may not always be able to enforce these rules and you may be exposed through the Services to Content that violates Reachq/Holisteq’s policies or is otherwise offensive. You access the Services at your own risk. Reachq/Holisteq may, but is not obligated to, remove Content from the Services for any reason, including if Reachq/Holisteq determines or suspect, at its sole discretion, that such Content violates these Terms. Reachq/Holisteq is merely acting as a passive conduit for such distribution and takes no responsibility for your exposure to Content through the Services whether it violates Reachq/Holisteq’s content policies or not.

In using certain Services, you authorize Reachq/Holisteq to act on your behalf to access and interact with social networking sites such as Facebook and Twitter (any such site referred to as a “SN Site”) to retrieve information from, and/or submit information to, such SN Sites at your request. Reachq/Holisteq will not collect your username and password, and will instead store the unique authorization code (or a “token”) provided by the SN Site to access it on your behalf. You can revoke Reachq/Holisteq’s access to an SN Site at any time by amending the appropriate settings from within your account settings on that site. You should note that an SN Site may change or amend its guidelines and Reachq/Holisteq’s access to it at any time, resulting that Reachq/Holisteq cannot guarantee that the Services will always include a connection to such SN Site.

These Terms are governed by the laws of The Netherlands.

COPPA (Children Online Privacy Protection Act)

When it comes to the collection of personal information from children under the age of 13 years old, the Children's Online Privacy Protection Act (COPPA) puts parents in control. The Federal Trade Commission, United States' consumer protection agency, enforces the COPPA Rule, which spells out what operators of websites and online services must do to protect children's privacy and safety online.

We do not specifically market to children under the age of 13 years old. Do we let third-parties, including ad networks or plug-ins collect PII from children under 13?
